Terms of Service

1. What Potluck Is

Potluck is a subscription software platform that helps small nonprofit organizations build a public website, collect online donations, and create social media content. Potluck is not a bank, payment processor, or nonprofit management company. All payment processing is handled by Stripe, Inc. under their own terms.

2. Eligibility and Account Registration

You must be at least 18 years old to create an account. By registering, you represent that:

• You have the authority to bind your organization to these Terms
• Your organization is a legitimate nonprofit, community group, civic organization, or similar entity
• All information you provide during registration is accurate and current

You are responsible for maintaining the security of your account credentials. Notify us immediately at support@usepotluck.org if you suspect unauthorized access.

US Only. Potluck is intended solely for organizations located in the United States. We do not knowingly provide services to organizations in the European Union or European Economic Area. If you are accessing Potluck from the EU or EEA, you must discontinue use immediately.

3. Subscriptions and Billing

Free tier. Potluck offers a free tier with limited features. No payment information is required to use the free tier.

Paid subscription. Paid plans are billed monthly in advance. Your subscription auto-renews each month until cancelled. Current pricing is displayed at usepotluck.org.

Cancellation. You may cancel at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months.

Failed payments. If a payment fails, we will notify you by email. Your account may be downgraded or restricted until payment is resolved. After 30 days of non-payment, your account may be suspended.

Price changes. We may change pricing with 30 days’ written notice by email. Continued use after the notice period constitutes acceptance of the new pricing.

4. Donation Processing

Potluck facilitates online donation collection on behalf of your organization. We are not a payment processor.

• All payments are processed by Stripe, Inc. Donors’ payment information is handled entirely by Stripe and is never stored on Potluck’s servers.
• Donation funds are routed directly to your organization’s connected bank account via Stripe Connect. Potluck does not hold, pool, or disburse donation funds.
• Your organization is solely responsible for compliance with Stripe’s Connected Account Agreement (available at stripe.com/connect-account/legal), which you accept when connecting your bank account through Potluck.
• Potluck is not responsible for failed payouts, bank account errors, chargebacks, disputes, or ACH returns. These matters are between your organization and Stripe.
• Your organization is solely responsible for the legal and tax treatment of donations received, including issuing donor acknowledgment letters where required by law.

5. Website Hosting

Potluck hosts a public website on your behalf using content and information you provide.

• You retain full ownership of your content (logos, mission statements, photos, contact information).
• You grant Potluck a limited, non-exclusive license to host, display, and deliver your content as part of the service.
• Potluck may remove content that violates these Terms, applicable law, or platform policies of third-party services (including Meta).
• Website uptime is provided on a best-effort basis. We do not guarantee uninterrupted availability.

6. AI-Generated Content

Potluck uses Anthropic’s Claude AI to generate draft social media content for your review.

• All AI-generated content is presented to you as a draft only. Potluck does not publish, post, or distribute any content without your explicit approval.
• You are solely responsible for reviewing AI-generated content for accuracy, appropriateness, and compliance with applicable laws and platform policies before approving it.
• Potluck makes no warranty that AI-generated content is accurate, factually correct, legally compliant, or appropriate for your organization.
• Approved content you choose to publish is your responsibility.

7. Social Media Integration

Potluck integrates with Meta (Facebook and Instagram) to help you publish content on your behalf.

• You must authorize Potluck to access your Facebook Pages and Instagram accounts through Meta’s OAuth process. You may revoke this authorization at any time through your Meta Business account settings.
• Potluck will only post content that you have explicitly reviewed and approved within the Potluck dashboard.
• You are solely responsible for compliance with Meta’s Terms of Service and Community Standards. Potluck is not responsible for content removals, account restrictions, or policy violations resulting from content you approved.
• Social media integrations depend on Meta’s APIs, which are outside our control. We are not responsible for outages, changes, or restrictions imposed by Meta.

8. Your Data and Donor Data

You own your data. Donor names, email addresses, and donation records collected through Potluck belong to your organization. Potluck stores and processes this data on your behalf.

Donor data export. Paid plan subscribers may export their donor list at any time from the dashboard. Free plan users may request an export by contacting support@usepotluck.org.

Data on cancellation. When you cancel your account, your data remains available for 90 days. After 90 days, we permanently delete your organization’s data, including donor records. Export your data before cancelling.

No data sales. Potluck does not sell your data or your donors’ data to any third party, ever.

9. Acceptable Use

You agree not to use Potluck to:

• Misrepresent your organization’s status, mission, or nonprofit credentials
• Collect funds for purposes other than those described in your organization’s profile
• Engage in fraud, money laundering, or any illegal activity
• Circumvent Stripe’s or Meta’s terms of service
• Harass, threaten, or harm any person
• Violate any applicable federal, state, or local law

We reserve the right to suspend or terminate accounts that violate these restrictions without refund.

10. Intellectual Property

Potluck’s platform, software, design, and brand are owned by SolutionBox, LLC. You may not copy, modify, distribute, or create derivative works from Potluck’s platform or branding.

You retain all rights to your own content. By uploading content to Potluck, you represent that you own or have the rights to that content, and you grant Potluck the license described in Section 5.

11. Disclaimer of Warranties

Potluck is provided “as is” and “as available” without warranty of any kind. We expressly disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, uninterrupted, or free of harmful components.

12. Limitation of Liability

To the fullest extent permitted by law, SolutionBox, LLC’s total liability to you for any claims arising from or related to these Terms or your use of Potluck shall not exceed the greater of (a) the total fees you paid to Potluck in the three months preceding the claim, or (b) one hundred dollars ($100).

In no event shall Potluck be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost donations, lost revenue, failed payments, or data loss, even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless SolutionBox, LLC and its members, managers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of Potluck; (b) your content; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party; or (e) any claim by a donor arising from a donation made through your organization’s Potluck page.

14. Dispute Resolution — Binding Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Potluck shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, in the State of Michigan.

Class action waiver. You waive any right to bring or participate in a class action, class arbitration, or representative action against Potluck. All claims must be brought in your individual capacity only.

Jury trial waiver. You waive any right to a jury trial.

Exceptions. Either party may seek emergency injunctive relief in a court of competent jurisdiction in Michigan to prevent irreparable harm pending arbitration.

15. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of Potluck after the effective date of updated Terms constitutes your acceptance.

17. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or conduct we determine to be harmful to Potluck, other users, or the public. You may terminate your account at any time through your dashboard settings.
